Terms of Service

Jindřich Tilkovský, IČO: 29512701, Klášterského 193, Bezděkovské Předměstí, 34401 Domažlice, Czech Republic operates CutAgent, including the public website, hosted CutAgent Cloud service, desktop app, downloads, billing flows, and related support channels.

CutAgent is a product and brand, not a separate legal entity. The legal contracting party is Jindřich Tilkovský unless a separate written agreement says otherwise.

CutAgent is an AI-assisted video editing tool for DaVinci Resolve. The desktop app connects to a local bridge, can run local DaVinci Resolve operations, and may use hosted services for accounts, subscriptions, usage limits, AI model routing, speech-to-text, transcripts, verification, downloads, updates, and support.

CutAgent may use necessary technical logs, incident telemetry, updater diagnostics, and crash reports to operate the service, protect accounts, detect abuse, investigate failures, and enforce service limits.

You are responsible for reviewing plans, tool calls, edits, generated text, transcripts, exports, and other outputs before relying on them. AI systems and editing automation can be incomplete, inaccurate, or unsuitable for a specific production.

You must provide accurate account, billing, and contact information and keep your credentials secure. You are responsible for activity under your account unless caused by the operator's breach of these terms.

We may suspend or limit access where needed to protect the service, enforce subscription limits, prevent abuse, respond to security concerns, comply with law, or investigate misuse.

Paid plans renew automatically unless the checkout page or billing portal states otherwise. Stripe processes payments, invoices, payment methods, subscription changes, and cancellations.

Hosted usage can include AI model calls, speech processing, transcript generation, verification, and related cloud-managed requests. Usage that has already been consumed may reduce or prevent refunds.

You can cancel future renewals through the Stripe Customer Portal or by contacting support if the portal is unavailable. Cancellation stops future renewal charges but does not automatically refund already consumed hosted usage.

You may not use CutAgent to break the law, infringe third-party rights, attack services, distribute malware, bypass security controls, overload infrastructure, reverse engineer hosted systems or proprietary desktop components, resell CutAgent as a competing service, or process content you do not have the right to use.

You may not use CutAgent outputs as a substitute for professional judgment where review is required, including client deliverables, legal, medical, financial, safety-critical, or regulated uses.

Subject to these terms, you may install and use the CutAgent macOS app only as part of the CutAgent service and your authorized editing workflows.

The CutAgent desktop app, local bridge, bundled resolve-cli runtime, CutAgent-owned runtime resources, prompts, workflow references, product design, documentation, and related internal automation tooling are proprietary software and materials owned by Jindřich Tilkovský unless a separate written agreement says otherwise.

You may not copy, extract, redistribute, sublicense, sell, rent, lease, host, make available, modify, create derivative works from, remove proprietary notices from, reverse engineer, decompile, disassemble, bypass access controls for, or use those proprietary components separately from CutAgent, except to the extent mandatory law gives you a right that cannot be waived.

resolve-cli is internal CutAgent tooling. It may be used only as part of the CutAgent desktop application or another CutAgent runtime expressly authorized by Jindřich Tilkovský. You may not operate it as a standalone product, repackage it, or incorporate it into another product or competing service without prior written permission.

You keep ownership of your projects, prompts, media, timelines, transcripts, exports, and other content. You grant the operator the limited rights needed to operate, secure, troubleshoot, and improve the service you request.

You must have the rights and permissions needed to upload, process, edit, transcribe, or export any content you use with CutAgent.

CutAgent may generate plans, explanations, text, tool inputs, subtitles, transcripts, edits, metadata, and other outputs. Outputs may be wrong or unexpected and should be checked before use.

When you approve or request workflows, CutAgent may modify DaVinci Resolve projects, timelines, clips, markers, settings, transcripts, renders, and local files. Keep backups of important projects and media.

CutAgent software, websites, documentation, product design, trademarks, and service infrastructure are owned by or licensed to Jindřich Tilkovský and are protected by intellectual property rights. Except for rights expressly granted to you, all rights are reserved.

Third-party software and services may be subject to their own licenses and terms. Notices for bundled runtime components are provided with the desktop app where required.

CutAgent is provided on an as-is and as-available basis to the maximum extent permitted by law. We do not guarantee that every edit, transcript, export, integration, or hosted request will be error-free or uninterrupted.

To the maximum extent permitted by law, the operator is not liable for lost profits, lost revenue, lost data, lost media, production delays, business interruption, indirect damages, or consequential damages. Nothing in these terms limits rights that cannot be limited under mandatory consumer law.

These terms are governed by the laws of the Czech Republic, except where mandatory consumer protection or other mandatory law gives you additional rights.
